Clear, transparent contractual terms covering full source code ownership, agile milestone deliverables, payment terms, and 30-day warranty.
These Terms of Service govern the engagement between CodeStivers ("Company", "we", "us") and the client ("Client", "you") for custom software development, web engineering, mobile applications, cloud architecture, and AI automation solutions.
Each project is executed under a detailed Statement of Work (SOW) or project quotation defining feature deliverables, sprint milestones, estimated timelines, and commercial payment terms.
Upon receipt of full and final payment for the agreed project milestones, 100% of the custom source code, databases, design assets, and intellectual property developed exclusively for the Client shall be permanently transferred to the Client. We hand over all GitHub repositories, cloud infrastructure keys, and build pipelines with zero vendor lock-in.
Open-source libraries, frameworks (e.g. Next.js, React, Node.js), and third-party APIs used in development remain subject to their respective MIT, Apache, or vendor licenses.
Projects are typically structured around milestone-based sprints to ensure transparency and accountability:
We stand firmly behind the quality of our engineering. Every custom project includes a complimentary 30-day post-launch warranty period:
Fixing any reproducible bugs, broken functionality, or deviations from the signed project specifications at zero additional charge.
Dedicated monthly SLA packages are available for server monitoring, performance scaling, dependency updates, and feature additions.
Successful agile delivery requires timely collaboration. The Client agrees to provide necessary brand assets, API credentials, third-party accounts, and timely sprint review feedback to maintain planned timeline trajectories.
To the maximum extent permitted by applicable law, CodeStivers shall not be held liable for indirect, incidental, or consequential damages arising from third-party server downtime (AWS, GCP, Vercel), third-party API outages (OpenAI, Stripe, payment gateways), or unauthorized breaches on client-managed hosting accounts. Our total liability for any claim shall not exceed the total fees paid under the applicable SOW.
Both parties agree to hold all proprietary trade secrets, business strategies, customer lists, and system architectures in strict confidence. This obligation survives project completion and termination of services.
These Terms of Service shall be governed by and construed in accordance with applicable commercial laws. In the event of any disagreement, both parties agree to engage in good-faith negotiations before initiating formal legal proceedings.
